1. Acceptance of Terms
By accessing nominarium.hk or engaging the services of Nominarium ("we", "us", "our"), you agree to these Terms of Service. If you do not agree, please do not use this website or our services.
2. Services
Nominarium provides corporate services in Hong Kong, including nominee director and nominee shareholder arrangements, company incorporation, company maintenance and secretarial services, bank account opening support, document notarization, certification, Apostille and consular legalization, registered office address, and substance services. Specific engagements are governed by separate written agreements which prevail over these general terms.
3. Nominee Arrangements
Nominee directors and shareholders act in a strictly formal capacity for confidentiality purposes only. Nominees do not sign contracts on behalf of the company, do not manage day-to-day operations, and act only upon documented instruction consistent with the nominee services agreement. Beneficial owners retain full control through trust deeds and powers of attorney. A refundable security deposit of USD 2,000 applies to nominee director engagements and is returned upon clean termination of the arrangement.
4. Client Obligations
Clients must provide accurate, complete, and current information, including all documents required for identity verification and compliance with applicable Hong Kong laws. Clients warrant that their companies will not be used for unlawful purposes. We reserve the right to decline or terminate any engagement that presents legal, regulatory, or reputational risk.
5. Fees and Payment
Fees are quoted in United States Dollars unless otherwise stated and are payable in advance unless agreed otherwise in writing. Published prices are indicative and may be updated; the price confirmed in your engagement documentation prevails. Government fees and third-party disbursements may change without notice.
6. No Legal or Tax Advice
Information on this website is provided for general information only and does not constitute legal, tax, or investment advice. You should obtain independent professional advice relevant to your circumstances before acting on any information found here.
7. Limitation of Liability
To the maximum extent permitted by law, Nominarium shall not be liable for any indirect, incidental, or consequential loss arising from the use of this website or our services. Our aggregate liability in connection with any engagement shall not exceed the fees paid for that engagement in the twelve months preceding the claim.
8. Intellectual Property
All content on this website, including text, design, and branding, is the property of Nominarium and may not be reproduced without prior written consent.
9. Governing Law
These Terms of Service are governed by the laws of the Hong Kong Special Administrative Region. Any dispute shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
